Regulatory Update: Proposed National Instrument 51-102 Continuous Disclosure Obligations + More

Canada’s regulators have been focused on reducing the regulatory burden on issuers and have just issued Proposed Amendments to National Instrument 51-102 Continuous Disclosure Obligations. These amendments include:

  • streamlining disclosure requirements in the MDA Form and AIF Form;
  • combining the financial statements, MD&A, and where applicable, AIF into one reporting document; and
  • addressing current gaps in disclosure.

In addition, the CSA has proposed a voluntary framework for semi-annual reporting for Venture issuers only.
